Terms of Service
Last Updated: August 25, 2026

Welcome to opendoorhealth.co (the "Site" or "Service"), operated by Open Door Health ("we," "us," or "our"). By accessing or using our website, services, or telehealth platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not access or use our Service.

1. Medical Emergencies Disclaimer

DO NOT USE THIS SERVICE FOR MEDICAL EMERGENCIES.

If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Open Door Health is not designed or intended for urgent, life-threatening, or emergency medical situations.

2. Nature of Telehealth Services

  • Independent Healthcare Providers: Telehealth services provided through opendoorhealth.co are rendered by licensed healthcare professionals ("Providers"). The relationship between you and your Provider is a direct patient-provider relationship.

  • Scope of Practice: Telehealth involves the delivery of healthcare services using interactive audio, video, or data communications. Providers may determine, in their sole professional judgment, that telehealth is not appropriate for your specific medical needs and may direct you to seek in-person care.

  • Geographic Restrictions: Providers are licensed in specific jurisdictions. You agree that you are physically located within the state or jurisdiction specified during your consultation at the time services are rendered.

3. Not a Provider of Emergency Care or Prescription Guarantees

  • Prescriptions: Prescribing medications is entirely at the discretion of the treating Provider. Providers on the platform will not prescribe controlled substances (e.g., DEA Schedule II–V drugs) except as strictly permitted by law. Prescriptions are not guaranteed.

4. User Accounts & Eligibility

  • Age Requirement: You must be at least 18 years old to create an account or access services on your own behalf. If you are under 18, a parent or legal guardian must create the account and accompany any telehealth consultation.

  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or security breach.

  • Accurate Information: You agree to provide accurate, complete, and current medical history and personal information.

5. Privacy & Health Data

Your privacy is critical to us. Please review our Privacy Policy to understand how we collect, use, and safeguard your Protected Health Information (PHI) in compliance with the Health Insurance Portability and Accountability Act (HIPAA) and applicable state laws.

You acknowledge that any medical, clinical, or health-related information transmitted, stored, or processed through the platform—including video consultations, chat messages, intake forms, and health history—may constitute Protected Health Information (PHI) or electronic Protected Health Information (ePHI) under the Health Insurance Portability and Accountability Act (HIPAA). We protect your PHI in accordance with our separate Privacy Policy, which is incorporated herein by reference. You explicitly consent to receiving healthcare services via telecommunications technology. You understand that while we implement administrative, physical, and technical safeguards required by the HIPAA Security Rule, data transmission over the internet and wireless networks is not completely infallible. You accept the inherent privacy and security risks associated with virtual care delivery, including potential technical failures, interruptions, or unauthorized interception despite our security controls. You agree that we, along with your treating telehealth providers and our contracted administrative or technical partners (Business Associates), may use or disclose your PHI for treatment, payment, and healthcare operations (TPO) as permitted or required by HIPAA and applicable state laws. All third-party vendors handling your ePHI on our behalf are bound by strict Business Associate Agreements (BAAs). To maintain confidentiality during telehealth sessions, you agree to participate from a private location. You are responsible for the security of your own device, local network, and physical environment. You agree to accurately verify your identity and current physical location prior to each telehealth consultation to ensure proper state-licensed care delivery and emergency routing.

6. Payments, Subscriptions, & Billing

  • Fees: You agree to pay all fees associated with consultations or services selected in accordance with the rates displayed at the time of purchase.

  • Insurance: If we bill insurance on your behalf, you remain ultimately responsible for any copays, deductibles, or non-covered services determined by your insurer.

  • Cancellations & Refunds: Refunds are granted at our sole discretion unless otherwise required by law. Please view price transparency and refund information here: www.opendoorhealth.co/pricetransparency

12. Governing Law & Dispute Resolution
Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the American Arbitration Association (AAA) website. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Durham, North Carolina. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the  state and federal courts located in Durham, North Carolina, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms.

In no event shall any Dispute brought by either Party related in any way to the Services be commenced more than one (1) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Durham County, North Carolina.

Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
